§ Reviewing accounts (P&L, 3-year financials) § Assessing risks/opportunities in the target’s financials § Advising on the leveraged buyout structure
This would be on a contingency basis and with fee as we would have a number of deals and to work with us to identify suitable acquisitions
1. Initial Diagnostic Review o Scope: High-level assessment of provided financials (P&L + 3-year accounts), identifying critical red flags, cash flow risks, and buyout feasibility. o Deliverable: Summary of deal viability/key risks of receiving accounting documents.
2. Formal Due Diligence (Post-Heads of Terms) - Paid Fees o Scope: Deep dive into full financials, asset quality validation, debt capacity analysis, and vendor liaison support. o Deliverable: Comprehensive due diligence report and calls
