We are seeking an experienced legal professional to lead the legal due diligence and transaction advisory workstream for a strategic acquisition of a mid-sized consulting engineering company.
Project Overview:
Commencement: Immediate Duration: 4-6 weeks, concluding by March 10, 2025 Engagement: Part-time, 2-3 days per week (subject to data availability) Location: 75% remote, 25% on-site (UK Midlands)
Key Responsibilities:
1/ Conduct comprehensive legal due diligence covering corporate filings, contracts, and regulatory compliance 2/ Review and analyze key legal documents, including shareholder agreements and corporate governance structures 3/ Assess legal risks and potential liabilities associated with the target company, to include lease agreements and commercial agreements 4/ Collaborate with financial and tax teams to provide input into Transactions Documentation workstream 5/ Take a lead on legal drafting of the share purchase agreement and other requisite transaction documents and negotiation of terms with the seller's legal team 6/ Lead the transaction completion, and share transfers process to close out the transaction
Qualifications:
- Extensive experience in legal due diligence, preferably within the engineering consulting sector - Strong background in corporate law, M&A transactions, and regulatory compliance - Excellent analytical and report-writing skills - Proven track record in transaction advisory services - Qualified solicitor with at least 7 years of post-qualification experience
