We are seeking a highly experienced consultant to join our elite transactions team for a strategic acquisition project involving a mid-sized consulting engineering company. The successful candidate will spearhead the financial and tax due diligence workstream.
Project Overview:
Commencement: Immediate Duration: 4-6 weeks, concluding by March 10 Engagement: Part-time, 2-3 days per week (subject to data availability) Location: 75% remote, 25% on-site (UK Midlands)
Key Responsibilities:
1/ Conduct comprehensive financial and tax due diligence covering the past three years, and future projections 2/ DD focus on P&L, Balance Sheet, and Cash Flow statements 3/ Evaluate share capital position 4/ Review and negotiate Completion Accounts with Sell Side advisors, with support 5/ Provide input to Transactions Team on Purchase Price calculations, including working capital adjustments 6/ Tax due diligence re corporate, PAYE, VAT compliance, liabilities, and optimisation strategies
Qualifications:
Extensive experience in financial and tax due diligence, preferably within the civil/structural engineering consulting sector - Superior analytical capabilities and report-writing proficiency - Robust background in finance, accounting, taxation, and/or business law - Proven track record in transaction advisory services
